Paul, Weiss advised QXO, Inc., on its acquisition of Beacon Roofing Supply, Inc., for $124.35 per share in cash, valuing Beacon at about $11 billion. The transaction makes QXO the largest publicly traded distributor of roofing, waterproofing and complementary building products in the United States.

In connection with the acquisition, Paul, Weiss advised QXO on a private offering of $2.25 billion of 6.75% senior secured notes due 2032, entry into a $2.25 billion senior secured term loan facility and entry into a $2.0 billion asset-based revolving credit facility.
