Will McNally is an associate in the Executive Compensation Group. He focuses on compensation issues in public and private M&A, initial public offerings, and bankruptcies and restructurings. Will also represents leading companies and executives in negotiating and drafting compensatory plans, including equity and cash incentive and deferred compensation plans and employment, separation, change in control and retention agreements. He also provides related advice concerning tax—including on Sections 409A, 280G, 162(m) and 457A—and securities law issues.
Prior to joining Paul, Weiss, Will was an attorney at the U.S. Department of the Treasury, IRS Office of Chief Counsel, where he focused on the taxation of executive compensation. He was the primary drafter of the regulations and guidance implementing the Section 4960 excise tax on excess remuneration and excess parachute payments paid by certain tax-exempt organizations; the compensation portions of the regulations and guidance implementing the Section 4501 excise tax on public company stock buybacks; and the 2017 guidance under Section 457A. He also worked on cases and guidance in which cryptocurrency and other blockchain-based assets were used as compensation for services or contributed to tax-qualified plans.
