Sean W. Anderson is an associate in the Âé¶¹ÊÓÆµ Department and a member of the Finance Group. He regularly advises buy-side and sell-side clients on derivatives, structured products, securitization, capital markets and commodities matters. In particular, he helps his clients structure, negotiate and execute derivative, synthetic and financing products, resolve related credit, regulatory, legal and risk management issues—including in the context of acquisitions, financing transactions and corporate restructurings—and interpret and implement post-global financial crisis regulatory reforms. He also regularly advises, publishes and presents on digital assets, blockchain and big data developments, including digital asset-based trading, derivatives, lending, custody and collateralization documentation.

Sean has extensive experience structuring and negotiating documentation across, and advising on, the full range of derivatives and structured products, including with respect to:

  • Over-the-counter derivatives trading documentation infrastructure, including ISDA Master Agreements and collateral arrangements, derivatives clearing documentation, repurchase agreements, bespoke long-form transaction confirmations for equity and credit products, master confirmation agreements and prime brokerage relationships
  • Total return swaps
  • Credit default swaps
  • Deal-contingent acquisition hedging
  • Interest rate, commodity price and foreign exchange hedging platforms
