Paul, Weiss is advising funds managed by Apollo affiliates on their acquisition, alongside other investors, of a minority stake in Motor Fuel Group (MFG) from investment firm CD&R. The Apollo-led investor group includes leading institutional investors and a number of CD&R’s existing limited partners.

Under the terms of the transaction the Apollo-led group is acquiring about £500 million of structured equity in MFG via a new special purpose vehicle. The proceeds will be used to redeem a portion of CD&R’s common equity stake, CD&R will retain control of the business, and an Apollo representative will join MFG’s board of directors. The deal is expected to close in the third quarter of 2025, subject to customary closing conditions.
